For owners of established businesses

A second look before you borrow, buy, expand or sign.

Some decisions commit your business, your capital and years of your time. Second Perspective reviews the decision from your side before you commit: whether it will work, whether your business can carry it, and how it could fail.

You make the decision. You make it with a clearer view.

Talk through a decision

A complimentary, confidential conversation of 20 to 30 minutes.

When it matters

When a second perspective matters

Borrowing

A new loan, line of credit or lease. Will the business carry the payments if the year comes in slower than planned?

Buying, selling or bringing in a partner

A change in ownership changes control, financing and who carries the risk. What are you actually agreeing to?

Expanding or taking on a major contract

New equipment, a new location or a large contract can add revenue and strain cash at the same time. What has to go right?

Not sure your decision fits? If it would be hard to undo, describe it anyway.

The Business Commitment Review

Every review answers three questions

Will it work?

The assumptions behind the expected benefit, tested against your actual numbers.

Can you carry it?

Cash, debt and capacity in a normal year, a slow year and a hard one.

How could it fail?

The risks, the dependencies and what would have to go wrong.

You receive a written review: what supports the decision, what weakens it, the questions still open, and what to take to your lawyer, accountant or lender.

The final decision remains with you.

How it works

From first conversation to written review

  1. A first conversation

Complimentary, 20 to 30 minutes. You describe the decision and its timing, and we decide together whether a review would help.

  2. A written proposal

You receive a written engagement proposal confirming the commitment being reviewed, the information required, the scope of the work, the expected delivery date and a fixed fee. Work begins only after the proposal is accepted.

  3. The review

You share the documents the decision depends on, usually financial statements, projections and the offer, contract or term sheet. I ask questions as I go.

  4. Your written review

Followed by a confidential meeting to walk through the findings and the questions that remain open.

Independence and boundaries

On your side of the table

Independent

Second Perspective works only for you. It takes no commissions, referral fees or success fees from lenders, brokers, sellers or anyone else involved in your decision, and it never acts for both sides of the same transaction.

Confidential

Your documents are used only for your review. Some analysis is AI-assisted. The engagement proposal explains how, and you can ask that AI tools not be used on your information. Privacy notice

Clear boundaries

A review doesn't replace your lawyer, accountant or other advisers, and it doesn't value businesses, act as a broker or arrange financing. When a decision needs specialist advice, the review says so and sets out the questions to ask.

About

The story behind Second Perspective

Some decisions strengthened businesses. Others created years of unintended consequences.

For fifteen years, I worked with owner-operated businesses through roles in investment services and commercial banking.

I reviewed businesses, financing requests, purchases and expansion plans. Behind each request was a larger decision that the owner would ultimately have to live with.

That led me to one question:

If the owner carries the consequences, who is helping them examine the decision itself?

That question became Second Perspective.
